This is a draft and is not in force.

A contract needs a party. Until a registered company, an address and a governing jurisdiction exist, these terms bind nobody and no customer should be asked to accept them.

This text is a starting point for a lawyer, not a substitute for one — recurring billing in particular is regulated differently state by state.

1. Who this is between

These terms are between you (the business buying the service) and [the company — not yet registered], trading as STANDARD. Buying the service means accepting them.

2. What we provide

We design, build, host and maintain a website for your business. The monthly service includes hosting, a security certificate, monitoring, management of your domain, your contact form, routine content changes and support.

Routine changes means updating information about your business — hours, contact details, staff, photos, prices, services and wording. It does not include redesigns, online shops, booking systems, custom software or brand design. We will tell you which category a request falls into before doing the work.

3. Building before you ask

We sometimes build a website for a business before contacting it, using publicly available information. That site is a private proposal. It is not published, is not indexed by search engines, and is not presented as your official website. You are under no obligation of any kind, and if you ask us to delete it we will.

4. Fees and renewal

The launch fee of $699 is a one-time charge. The managed service is $49 per month. Both are charged when you buy.

The monthly service renews automatically every month until you cancel, charged to the payment method you provided. Domain registration, where taken, is $24 per year and renews annually. Optional extras renew on the same basis as the item they were bought as.

We will not increase the price of a service already running. If we change prices, existing customers keep the price they signed up at.

5. Cancelling

You can cancel at any time from your account, or by telling us. There is no minimum term, no notice period and no cancellation fee.

Your site stays online until the end of the period you have paid for. After that it is taken down. We do not delete your content, and we will provide your site files and transfer your domain on request.

The launch fee is not refundable once the site is live, because the work it pays for has been done.

6. Non-payment

If a payment fails we will contact you and try again. Your site stays online during that period. If it remains unpaid we may replace the site with a holding page. We will not delete your data and we will not interfere with your email.

7. Who owns what

Your domain is registered in your name and belongs to you. The content of your website — your text, your photographs, your business information — belongs to you. You may take both with you at any time.

The software that builds and runs the site remains ours.

8. Your responsibilities

You are responsible for the accuracy of information about your business, and for having the right to use anything you send us. Tell us if something on your site is wrong and we will correct it.

You may not use the service for anything unlawful, or to publish content you do not have the right to publish.

9. Availability

We work to keep your site online at all times, but we do not offer a guaranteed uptime figure and we are not going to invent one. Interruptions can happen, including ones caused by suppliers we depend on.

10. Liability

We are liable for what the law requires us to be liable for, and no more. To the extent the law allows, our total liability is limited to the amount you have paid us in the twelve months before the claim, and we are not liable for lost profits or lost business.

11. Changes

We may update these terms. If a change materially affects you we will tell you before it takes effect, and continuing to use the service after that means accepting it.
